1. ACCEPTANCE OF TERMS AND CONDITIONS
By accessing, registering for, or utilizing any aspect of the CallZerra Sim Hosting and Real Sim Mobile Services (collectively referred to as the “Services”), you, the user (hereinafter referred to as “You” or “User”), hereby explicitly acknowledge, understand, and irrevocably agree to be legally bound by the entirety of these Terms of Service (“Terms”). Your affirmative act of using the Services constitutes your full and unconditional acceptance of these Terms, all incorporated policies, and any future modifications. If you do not agree to each and every provision contained within these Terms, you are expressly prohibited from accessing, installing, or using the Services in any manner whatsoever.
2. COMPREHENSIVE DESCRIPTION OF SERVICES PROVIDED
CallZerra provides a suite of telecommunication access services, which includes, but is not limited to, virtual and physical SIM card hosting, telephone number provisioning, call forwarding functionalities, SMS and MMS reception capabilities, and related mobile number access points (the “Services”). The User understands and explicitly agrees that these Services are offered on a “best-effort” basis and are subject to change, modification, limitation, or complete discontinuation at any point in time, at the sole and absolute discretion of CallZerra, without prior notice or liability. All features, availability, and service levels are described for informational purposes only and do not constitute a guaranteed specification.
3. ABSOLUTE DISCLAIMER OF LIABILITY FOR SERVICE FUNCTIONALITY
3.1. No Guarantee of Operability: CallZerra explicitly disclaims any and all warranties, representations, or guarantees regarding the operational status, reliability, or functionality of any telephone number, routing pathway, or communication channel provided through the Services. There is no assurance that any provided number will successfully receive inbound calls, SMS/MMS messages, or any other form of communication.
3.2. Acknowledgment of Inherent Risks: You hereby acknowledge, accept, and assume all risks associated with the potential failure of the Services to perform as expected. CallZerra shall bear no liability whatsoever for any loss, damage, or inconvenience stemming from failed connections, undelivered messages, network congestion, carrier restrictions, number recycling, deactivation, or any other cause of service interruption or degradation.
3.3. Limitation of Recourse: The User agrees that their sole remedy for dissatisfaction with the Services is to discontinue use. CallZerra, its directors, officers, employees, and agents shall not be held responsible for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Services.
4. EXPLICITLY PROHIBITED ACTIVITIES AND USES
The User covenants and agrees not to utilize the Services for any unlawful, prohibited, or unauthorized purpose. The following list, while not exhaustive, details specifically prohibited uses:
4.1. Strict Prohibition on Financial Service Verification: You are expressly and unequivocally prohibited from using the Services, including any provided telephone numbers, for the purpose of verification, registration, authentication, or account creation with any financial service institution. This comprehensive prohibition includes, but is not limited to, banks, credit unions, brokerage firms, cryptocurrency exchanges (e.g., Binance, Coinbase), digital wallets, payment processors (e.g., PayPal, Stripe), lending platforms, or any other entity involved in the management of monetary assets or financial transactions. Any such use constitutes a material breach of these Terms.
4.2. Unauthorized Concealment of Identity: The use of Virtual Private Networks (VPNs), proxy servers, Tor networks, or any other technology designed to obfuscate, mask, or falsify your true IP address or geographical location is strictly forbidden both during the creation of your account and at any point while using the Services. CallZerra employs sophisticated detection mechanisms, and any violation will result in immediate and permanent account termination.
4.3. General Prohibition on Illicit Activities: You agree not to use the Services to engage in, facilitate, or promote any activity that is illegal under applicable local, state, national, or international law. This includes, but is not limited to, fraud, phishing, spamming, harassment, stalking, dissemination of malware, infringement of intellectual property rights, or any activity that threatens the security or integrity of any network or system.
5. SERVICE SUSPENSION, TERMINATION, AND FORFEITURE OF FUNDS
5.1. Unilateral Right to Suspend or Terminate: CallZerra reserves the absolute and unrestricted right, at its sole discretion and without prior notice or judicial recourse, to suspend, restrict, or terminate your access to the Services, in whole or in part, for any reason, including but not limited to any actual or suspected violation of these Terms, suspicious activity, or to protect the integrity of its systems.
5.2. Immediate Effect and No Refund: Such suspension or termination shall be effective immediately upon implementation by CallZerra. You hereby explicitly agree and understand that upon any suspension or termination of your account or access to the Services, for any reason, you shall forfeit any and all credits, prepaid balances, subscription fees, or other funds associated with your account. No refunds, reimbursements, credits, or pro-rated returns of any kind shall be issued.
5.3. Operational Suspensions: CallZerra may also temporarily suspend the Services for maintenance, security upgrades, or other operational reasons without liability and without constituting a breach of these Terms.
6. NO REFUND POLICY – FINAL AND BINDING
All fees, charges, and payments made to CallZerra for the procurement of Services are final, non-refundable, and non-transferable. By agreeing to these Terms, you expressly waive any right to claim a refund under any circumstances, including, but not limited to, service dissatisfaction, partial use, account suspension or termination, changes in service offerings, or your inability to utilize the Services for their intended or any other purpose.
7. COMPLETE DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. CALLZERRA EXPLICITLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE IN TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CALLZERRA OR THROUGH THE SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
8. LIMITATION OF LIABILITY – YOUR ACKNOWLEDGED AGREEMENT
IN NO EVENT SHALL CALLZERRA, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CALLZERRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM. THE TOTAL AGGREGATE LIABILITY OF CALLZERRA FOR ANY CLAIM UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO CALLZERRA IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
9. INDEMNIFICATION OBLIGATION
You hereby agree to defend, indemnify, and hold harmless CallZerra, its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (iv) any claim that your use of the Services caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services.
10. MODIFICATION OF TERMS
CallZerra reserves the unilateral right, at its sole discretion, to modify, amend, or update these Terms at any time and for any reason. Such modifications will be effective immediately upon posting the revised Terms on the CallZerra platform or website. It is your sole responsibility to review these Terms periodically for any changes. Your continued use of the Services following the posting of revised Terms constitutes your binding acceptance of and agreement to such changes.
11. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms, their interpretation, and any disputes arising from or related to the Services or these Terms, shall be governed by and construed in accordance with the laws of the State of, without regard to its conflict of law principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in for the resolution of any such dispute. You hereby waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
USER ACKNOWLEDGMENT AND AGREEMENT
BY PROCEEDING TO USE THE CALLZERRA SERVICES, YOU SOLEMNLY DECLARE THAT YOU HAVE READ THIS ENTIRE TERMS OF SERVICE AGREEMENT COMPREHENSIVELY, HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL COUNSEL CONCERNING ITS TERMS, AND FULLY UNDERSTAND, ACCEPT, AND AGREE TO BE LEGALLY BOUND BY ALL ITS PROVISIONS, INCLUDING THE CRITICAL DISCLAIMERS OF WARRANTY, LIMITATIONS OF LIABILITY, PROHIBITED USES, AND THE NO-REFUND POLICY. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT CONSTITUTES THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND CALLZERRA, SUPERSEDING ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN.
